Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the PartnerFlo platform provided by PartnerFlo Ltd (“PartnerFlo”, “we”, “us”). By creating an account or using the platform you agree to be bound by these Terms.
1. Definitions
- Vendor — an organisation that subscribes to PartnerFlo to manage its channel partner programme
- Partner — a channel partner invited to access the platform by a Vendor
- User — any individual accessing the platform under a Vendor or Partner account
- Subscription — a paid or trial plan granting access to the platform features
2. Eligibility and accounts
You must be at least 18 years old and authorised to act on behalf of your organisation to create a Vendor account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@partnerflo.io if you suspect unauthorised access.
3. Subscriptions and billing
Vendor accounts require a paid subscription after any applicable free trial period. Subscriptions are billed monthly or annually in advance. Pricing is as published on our pricing page at the time of sign-up. We will give at least 30 days' notice of any price changes.
Payments are processed by Stripe. All fees are non-refundable except where required by applicable law or expressly stated in these Terms. If a payment fails we will attempt to collect for up to 14 days before suspending access.
4. Free trial
New Vendor accounts receive a free trial period as indicated at sign-up. No payment method is required during the trial. At the end of the trial, access will be suspended until a subscription is activated.
5. Acceptable use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable regulations
- Upload content that is defamatory, fraudulent, or infringes third-party intellectual property rights
- Attempt to reverse-engineer, decompile, or extract source code from the platform
- Use automated tools to scrape or excessively query the platform APIs
- Attempt to gain unauthorised access to other accounts or systems
- Resell, sublicense, or white-label the platform without written permission
6. Partner accounts
Partner accounts are created at the invitation of a Vendor. The Vendor is responsible for ensuring its Partners comply with these Terms. PartnerFlo is not party to any commercial arrangements between Vendors and their Partners.
7. Data and privacy
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. As a Vendor you act as a data controller for your Partners' personal data; PartnerFlo acts as your data processor. A Data Processing Agreement is available on request.
8. Intellectual property
PartnerFlo and its licensors retain all intellectual property rights in the platform, including software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the platform during the subscription period.
You retain ownership of all content you upload to the platform (deals, documents, files). You grant PartnerFlo a limited licence to store, process, and display that content solely to provide the service.
9. Availability and support
We target 99.9% monthly uptime excluding scheduled maintenance. We will endeavour to schedule maintenance outside business hours and provide advance notice. Support is available via support@partnerflo.io.
10. Suspension and termination
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. You may cancel your subscription at any time from the billing settings; access continues until the end of the current billing period. On termination, your data is retained for 90 days before permanent deletion.
11. Limitation of liability
To the maximum extent permitted by law, PartnerFlo's total liability to you for any claim arising under or in connection with these Terms shall not exceed the fees paid by you in the 3 months preceding the claim. We exclude liability for indirect, consequential, or loss-of-profit damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnity
You agree to indemnify and hold harmless PartnerFlo from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms or misuse of the platform.
13. Changes to these Terms
We may update these Terms from time to time. We will notify Vendor account administrators by email at least 14 days before changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
14. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
